Jinu legal
Terms of Service
Rules for authorized use of Jinu's Instagram comment-to-message automation service.
1. Agreement and operator
These Terms govern access to Jinu, operated by [LEGAL ENTITY NAME] at [LEGAL ADDRESS]. By creating an account or using the service after these Terms become effective, a customer agrees to them and to the Privacy Policy. Contact: [LEGAL/SUPPORT EMAIL].
This is a pre-publication draft. Entity details, launch countries, commercial terms, dispute provisions, and liability language require owner and legal counsel approval.
2. Eligibility and authority
A customer must be legally able to enter a binding agreement and must have authority to connect and act for the relevant Instagram Business or Creator account. A person acting for an organization confirms that they can bind it. The minimum age and any business eligibility restrictions are [COUNSEL TO CONFIRM].
3. The service
Jinu lets a customer configure rules that react to eligible comments using official Meta APIs. The MVP can send one text Private Reply for a matching comment and can continue a conversation only after the recipient replies and while Meta permits messaging. Features, limits, and eligibility depend on Meta APIs and policies and may change.
Jinu does not promise delivery, reach, follower growth, or uninterrupted access. Draft, beta, pilot, and preview features may be changed or removed.
4. Accounts and security
- Provide accurate registration and workspace information and keep it current.
- Protect credentials, sessions, and connected Meta accounts; promptly report suspected unauthorized access.
- Assign workspace roles only to authorized people and remove access when it is no longer needed.
- Reconnect or reauthorize Instagram when permissions or tokens expire or are revoked.
5. Acceptable use
A customer may use Jinu only for lawful, authorized engagement from a professional Instagram account and must follow applicable law, Meta terms and policies, message-window rules, intellectual-property rights, and required consumer notices.
- Do not send cold, bulk, deceptive, harassing, discriminatory, or unlawful messages, or use purchased/scraped audience lists.
- Do not use unofficial APIs, browser automation, cookies, credential sharing, or technical workarounds to evade Meta or Jinu controls.
- Do not trigger loops, impersonate others, distribute malware, phish, collect sensitive data without authority, or interfere with service security or availability.
- Do not use content, media, trademarks, or personal information unless you have the necessary rights, notices, and permissions.
6. Customer instructions and content
The customer controls its automation configuration and remains responsible for trigger keywords, replies, links, public comments, audience notices, and the lawfulness and accuracy of its instructions. The customer grants Jinu the limited rights needed to host, process, transmit, and display that content solely to provide, secure, and support the service.
Jinu may process comment and message content only as described in the Privacy Policy and the customer's valid instructions, subject to law and platform requirements.
7. Meta dependency
Jinu is an independent service and is not Meta or Instagram. Use of Instagram remains subject to Meta's terms, policies, permissions, review, technical limits, outages, and enforcement. Meta may restrict or remove access, change APIs, reject messages, or revoke permissions. Jinu may modify or suspend affected functionality to remain compliant or safe.
8. Fees and taxes
Pricing, pilot terms, renewal, refunds, taxes, and payment processing are [OWNER/COUNSEL TO DEFINE BEFORE ANY PAID OFFER]. No billing promise is made by this draft.
9. Suspension and enforcement
Jinu may limit or suspend access when reasonably necessary to investigate abuse, protect users or the service, comply with law or Meta requirements, address security risk, prevent excessive load, or respond to nonpayment under future commercial terms. When appropriate, we will provide notice and a way to contact [SUPPORT EMAIL]. Severe or urgent risks may require immediate action.
10. Termination and deletion
A customer may stop using Jinu, disconnect Instagram, or have a workspace owner permanently delete the workspace. Jinu may terminate access for a material or repeated breach, legal requirement, platform loss, security risk, or service discontinuation, subject to [NOTICE/CURE PERIOD — COUNSEL TO DEFINE].
Deletion removes active tenant data as described in the Privacy Policy and Data Deletion Instructions, subject to documented backup rotation, legal holds, and records Jinu is legally required to retain. Terms that by nature should survive termination will survive, including ownership, payment obligations, disclaimers, and dispute provisions, once counsel approves the final text.
11. Intellectual property and feedback
Jinu and its licensors retain rights in the service, software, documentation, and branding. The customer retains rights in customer content. If a customer provides feedback, Jinu may use it without restriction or compensation, provided it does not publicly identify the customer without permission.
12. Warranties and liability
THE WARRANTY DISCLAIMERS, LIMITATION OF LIABILITY, EXCLUSIONS, CAP, INDEMNITY, AND ANY MANDATORY CONSUMER-LAW SAVINGS CLAUSE ARE [COUNSEL TO DRAFT FOR THE OPERATOR, PRODUCT, PRICING, AND LAUNCH JURISDICTIONS]. Do not replace this placeholder with a generic clause without legal review.
13. Governing law and disputes
Governing law, courts or arbitration, venue, class-action language, informal resolution, and notices are [COUNSEL TO DEFINE]. The final terms must preserve any non-waivable rights that apply to the customer.
14. Changes and contact
We may update these Terms to reflect service, law, security, or platform changes. The final policy must define advance notice and acceptance rules for material changes. Questions and legal notices: [LEGAL/SUPPORT EMAIL].
